The specific scope, deliverables, timeline, and pricing of any engagement are set out in a separate written agreement, proposal, or statement of work agreed between EasyRyt and the client.

Service availability

We reserve the right to modify, suspend, or discontinue any part of our website or services at any time without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of services.

3. Use of Our Website

You agree to use our website only for lawful purposes and in a manner that does not infringe the rights of others or restrict their use and enjoyment of the site. Specifically, you agree not to:

Client work

Intellectual property rights in work created for clients are governed by the specific agreement or statement of work between EasyRyt and the client. Unless otherwise agreed in writing, EasyRyt retains all rights to its tools, frameworks, methodologies, and pre-existing intellectual property used in the delivery of services.

5. Confidentiality

Both parties may have access to confidential information belonging to the other in the course of an engagement. Each party agrees to maintain the confidentiality of such information and not to disclose it to third parties without prior written consent, except as required by law.

Confidential information does not include information that is publicly available through no breach of this agreement, was already known to the receiving party, or is independently developed without reference to the confidential information.

6. Payment Terms

Invoicing

Payment terms are set out in the applicable proposal or agreement. Unless otherwise agreed, invoices are payable within 14 days of the invoice date. EasyRyt reserves the right to pause or suspend work if invoices remain unpaid beyond the agreed payment period.

Late payment

We reserve the right to charge interest on overdue payments at a rate of 1.5% per month, or the maximum rate permitted by applicable law, from the due date until the date of actual payment.

Expenses

Any pre-approved third-party costs, tools, or expenses incurred in the delivery of services will be invoiced to the client at cost unless otherwise agreed.

7. Disclaimers and Warranties

Our website and services are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, EasyRyt expressly disclaims all warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that our website will be uninterrupted, error-free, or free from viruses or other harmful components. We do not warrant that the results obtained from using our services will meet your specific expectations or requirements.

8. Limitation of Liability

To the fullest extent permitted by applicable law, EasyRyt, its directors, employees, partners, agents, and suppliers shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or business opportunities, arising out of or in connection with your use of our website or services.

In no event shall EasyRyt's total liability to you for any claim arising from or related to our services exceed the total fees paid by you to EasyRyt in the three months preceding the event giving rise to the claim.

9. Termination

Either party may terminate a service engagement by providing written notice in accordance with the terms set out in the applicable agreement. In the absence of a specific termination clause, either party may terminate the engagement with 30 days' written notice.

Upon termination, you must pay for all work completed up to the termination date. EasyRyt shall deliver all completed work product for which payment has been received. Any provisions of these Terms that by their nature should survive termination shall continue to apply.

11. Governing Law and Disputes

These Terms and Conditions are governed by and construed in accordance with applicable law. Any disputes arising out of or in connection with these Terms shall first be addressed through good-faith negotiation between the parties.

If a dispute cannot be resolved through negotiation within 30 days, either party may seek resolution through binding arbitration or the courts of competent jurisdiction. Nothing in this clause prevents either party from seeking urgent injunctive relief.

12. General Provisions

Entire agreement

These Terms, together with our Privacy Policy and any applicable service agreement, constitute the entire agreement between you and EasyRyt regarding your use of our website and services.

Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

No waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

Assignment

You may not assign your rights or obligations under these Terms without our prior written consent. EasyRyt may assign its rights and obligations without restriction.
